  1.             BY INSTALLING THE SOFTWARE ON THIS CD-ROM
  2.       YOU AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS
  3.               OF THE FOLLOWING LICENSE AGREEMENT.

  5.               IF YOU DO NOT AGREE TO THESE TERMS,
  6.                YOU MAY WITHIN FIFTEEN (15) DAYS,
  7.           RETURN THE SOFTWARE INCLUDING THE CD-ROM DISC.

  9.   LICENSE GRANT:

  11. This is a license, not a sales agreement.
  12. Cognitive Technologies Corporation (CTC) hereby grants you a non-exclusive,
  13. non-transferable license to use the enclosed CD-ROM package, instructional
  14. material, and software (the "Software").
  15.  
  16. The license is granted on the basis of a single user (the "User") using the
  17. software at only one computer.  Modifying, translating, reverse engineering,
  18. decompiling or disassembling the Software: renting, copying, duplication,
  19. transferring, or assigning all or part of the Software, or any rights granted
  20. hereunder to any other person or entity and removing any proprietary notices,
  21. labels, or marks from the Software without CTC's prior written consent is
  22. STRICTLY PROHIBITED. Furthermore you agree not to create derivative works
  23. based on or to copy the Software.
  24.  
  25. Ownership in and to the Software remains with CTC and is protected by copyright
  26. and trademark laws.  Any failure to comply with the above terms and conditions
  27. will result in automatic termination of this license and reversion on the
  28. rights granted herein to CTC.  Unauthorized reproduction of the Software, by
  29. any means electronic or otherwise, constitutes copyright infringement punishable
  30. by civil and criminal action in most countries.

  32. CTC WILL PROSECUTE ALL INFRINGES OF ITS RIGHTS TO THE MAXIMUM EXTENT
  33. PERMITTED BY LAW.

  35.   SOFTWARE LIMITED WARRANTY:

  37. The Software and documentation is provided "AS IS" without warranty of any kind,
  38. either expressed or implied, including, but not limited to, the implied
  39. warranties of merchantability and fitness for a particular purpose.  The entire
  40. risk as to the quality and performance of the Software is with you, and you
  41. assume all the cost of all necessary servicing, repair, or correction.
  42.  
  43. CTC warrants that the media (CD-ROM) in which the Software is furnished is free
  44. from any physical defects under normal use for a period of sixty(60) days from
  45. the date of purchase.  Any other software and any hardware furnished with or
  46. accompanying the Software is not warranted by CTC.

  48. CTC's entire liability and your only remedy under this warranty (which is
  49. subject to your returning the Software to CTC with a copy of your purchase
  50. receipt) will be to attempt to correct the errors which CTC believes are
  51. causing the defect or to replace the Software with functionally equivalent
  52. software, whichever CTC at its sole discretion shall decide.

  54. CTC does not warrant that the Software functions contained in the Software will
  55. meet your requirements or that the Software will be uninterrupted or error free.

  57.   LIMITATION OF LIABILITY:

  59. IN NO EVENT SHALL CTC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL,
  60. SPECIAL, INCIDENTAL OR INDIRECT DAMAGE OF ANY KIND ARISING OUT OF THE USE OF
  61. THE SOFTWARE, EVEN IF CTC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  62. IN NO EVENT WILL CTC'S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT,
  63. OR ANY OTHER THEORY OF LIABILITY EXCEED THE PURCHASE PRICE PAID BY YOU.

  65. CTC does not warrant or represent the accuracy, reliability or correctness of
  66. any information contained in or derived from the Software and shall not be l
  67. iable for any damage resulting from any reliance on the Software.

  69. Some states do not allow limitations on how long an implied warranty lasts, so
  70. the above limitations may not apply to you.  This warranty gives you specific
  71. legal rights.  You may also have other legal rights which vary from state to
  72. state.

  74.   GENERAL:

  76. This license will be governed by the state of Maryland and the parties hereto
  77. submit to its jurisdiction.  This license is the entire license between us and
  78. supersedes any other communications or advertising with respect to the Software.
  79. If any provisions of this Agreement are held invalid, the remainder of the
  80. agreement shall be held in full force and effect.  If you have any question
